Distribution Agreement

1. Overview

This Distribution Agreement ("Agreement") sets forth the terms and conditions under which Zaventra Music Group ("Distributor," "we," "us") agrees to distribute musical recordings on behalf of artists and labels ("Distributor Client," "you") to digital service providers ("DSPs") worldwide, including but not limited to Spotify, Apple Music, YouTube Music, Amazon Music, Tidal, Deezer, and other streaming platforms.

2. Scope of Distribution

Upon acceptance of your release, Zaventra will deliver your musical recordings and associated metadata to our network of digital service providers worldwide. Distribution coverage includes:

• Major streaming platforms (Spotify, Apple Music, YouTube Music, Amazon Music, Tidal, Deezer)
• Download stores (iTunes, Amazon Digital)
• Social media platforms (Instagram, Facebook, TikTok)
• Regional and independent platforms across 200+ territories

3. Content Requirements

All releases submitted for distribution must meet the following requirements:

• Audio files in WAV or FLAC format, minimum 16-bit/44.1kHz
• Artwork in 3000x3000 pixels, RGB color mode, JPG or PNG format
• Complete and accurate metadata (artist name, title, genre, ISRC, UPC)
• All necessary rights clearances and permissions
• Compliance with our Content Guidelines

4. Revenue Sharing

Revenue from digital sales and streams is shared between Zaventra and the Distributor Client as specified in the individual partnership agreement. Standard revenue reporting is provided monthly, with payments processed according to the payment terms outlined in your partnership agreement.

5. Delivery and Takedown

Zaventra will deliver content to DSPs within 3-5 business days of approval. Takedown requests will be processed within 7-14 business days across all platforms, though removal times may vary by DSP.

6. Territory

Unless otherwise specified in your partnership agreement, distribution is worldwide across all territories served by our DSP network.

7. Term and Termination

This Agreement remains in effect for the duration of your partnership with Zaventra. Either party may terminate with 30 days written notice. Upon termination, Zaventra will remove your content from DSPs within 90 days.

8. Representations and Warranties

You represent and warrant that:

• You own or control all necessary rights to the content
• The content does not infringe any third-party intellectual property rights
• The content complies with all applicable laws and regulations
• All metadata provided is accurate and complete

9. Indemnification

You agree to indemnify and hold harmless Zaventra Music Group from any claims, damages, losses, or expenses arising from your content, breach of this Agreement, or violation of any third-party rights.
